Ways to invest in Ukraine

A company in which foreign investment makes up at least 10% of the charter capital is an enterprise with foreign investment under the Law of Ukraine «On the Regime of Foreign Investment»; it gains that status from the day the investment is credited to its balance sheet. Foreign investment may take the form of convertible foreign currency, Ukrainian hryvnia, movable and immovable property and related property rights, shares and corporate rights, intellectual property rights and other assets.

• Company setup. Charter or model charter, founders' decision, ownership structure, filing with the registrar, company registration and tax registration; registered address where needed.
• Acquisitions. Legal audit of the target, share purchase documents, registration of the new participant and director.
• Agreements. Investment, shareholder and partnership agreements; in contracts with a foreign element the parties may choose the governing law, unless Ukrainian law expressly prohibits that choice.

Documents a foreign investor prepares

• For a foreign company founder: an extract from the trade, bank or court register of its home country, issued no earlier than one month before filing.
• For a foreign individual: a passport and a Ukrainian tax ID number, which we arrange.
• Documents for the ownership structure and a copy of the identity document of the ultimate beneficial owner.
• Apostille or consular legalisation of documents issued abroad, unless an international treaty provides otherwise, and a certified translation into Ukrainian.
• A power of attorney for our lawyer, if you file through a representative.

Foreign managers and staff

An employer in Ukraine engages a foreign employee on the basis of a work permit issued by the territorial office of the State Employment Service. For most foreign employees the permit is issued for the term of the employment contract, up to two years; for seconded employees and intra-corporate transferees, up to three years. The decision on a new permit is made within seven working days of registering the application. Some foreigners work without a permit, for example permanent residents and employees of branches and representative offices of foreign companies.

A foreigner who is a founder, participant or beneficial owner of a Ukrainian company can obtain a temporary residence permit when their share, or the share of the foreign company they control, in the charter capital is at least EUR 100,000 at the National Bank of Ukraine rate on the date of the investment.
