Buying and selling a ready-made business in Ukraine

A ready-made company is bought when the work has to start before a new entity could be registered and put on the tax registers: a tender closes, a contract is ready to sign, or a licence is required from day one. Companies with a tax status or a trading history

The most frequent request is to buy an LLC with VAT in Kyiv, because registering a company and obtaining the VAT certificate separately takes time. Businesses that need a credit or tender history look at a ready-made firm with turnover, and construction companies at a ready-made construction firm. A company on the simplified system is covered by an LLC on the single tax, the third group, which is open to both individuals and legal entities. Companies that already hold a licence

Where the activity is licensed, the licence is the reason for the purchase: a company with a licence in general, and separately an LLC with a licence for security activities, for electricity or natural gas supply, for international passenger transport and for tour operator activity.

Before the deal

A lawyer examines the extract from the register, the statutory documents, the composition of the founders and the powers of the director, the reporting filed so far, outstanding debts, court cases and enforcement proceedings, and the state of the licence where one exists. The transfer is then carried out as a change of founders and, as a rule, a change of the head, with the documents filed with the registrar. Non-profit forms are covered by buying a charitable organisation and buying a public organisation.

Prices and deadlines

Most entries carry the note «Negot.», because the fee depends on the documents, the founders and the scope of work; the deadline shown for the majority of services is three working days. The scope, the fee and the schedule are fixed in the contract before the work starts.
