Offshore in Antigua after the 2018 reform
International Business Corporations (IBCs) used to receive a 50-year tax exemption. The Law (Miscellaneous Amendment) Act, 2018 (No. 26 of 2018) deleted the tax provisions of the IBC Act without a transition period. An IBC that is tax resident in Antigua or has a permanent establishment there is now taxed under the general rules. The general corporate income tax rate is 25%.
The tax outcome therefore depends on where the company is actually managed and where business is done. We calculate it for the specific structure before registration.
Requirements for an IBC in Antigua
- Registration through a licensed local agent and a registered office in Antigua and Barbuda.
- The director and the shareholder may be foreigners, and they may be the same person.
- The agent identifies the members and beneficial owners under KYC rules.
- A name in Latin characters indicating the legal form. Words related to banking, insurance and financial activity require separate permission.
- Annual renewal of the agent and office services, keeping corporate and accounting records.
