Amending the documents of a non-profit organisation

A public organisation, a charity, a trade union or an association keeps the data in the Unified State Register in line with its actual state of affairs. Every change in the head, the name, the address, the founders or the charter is registered, and the registration is based on a decision of the general meeting or of another governing body named in the charter.

How the procedure runs

A lawyer starts with the current extract from the register and the charter in force, since the charter sets out who is entitled to take the decision and how the meeting is convened. The documents are then drawn up in the wording the registrar accepts, signed by the authorised person and filed. Once the entry is made, a fresh extract confirms the new data, and the organisation informs the tax authority, the bank and its counterparties.

Delays usually come from a defective decision of the governing body, an incomplete set of documents or a discrepancy between the charter and the register. Checking these points before filing keeps the procedure within one visit to the registrar.
