Buying and selling a ready-made business in Ukraine

A sale of a company in Ukraine is carried out as a change in the composition of the founders and, in most cases, a change of the head, with the amendments entered in the Unified State Register. What the buyer checks

Before the money moves, a lawyer studies the extract from the register and the statutory documents, the powers of the director, the reporting filed to date, tax debts, court cases and enforcement proceedings, employment obligations, and the status of any licence or permit the company holds. The result of that review decides the price and the wording of the contract.

What the seller prepares

The seller gathers the corporate decisions required by the charter, the consent of the other participants where the charter calls for it, the documents on the payment of the charter capital, and the accounting records that will be handed over. Where the company holds a licence, the licensing conditions are checked in advance, because a change of ownership may oblige the company to notify the licensing authority.
