Registering an IT company in Ukraine means setting up an LLC that fits how you earn: who the founders are, how shares are split, which tax regime applies, who owns the code and how the company engages developers. How the work goes

1. Project review — the lawyer maps founders, revenue sources, investors and foreign clients and proposes a structure and tax regime.
2. Document pack — founders’ decision, charter or model charter, ownership structure, registration and tax regime applications.
3. Filing — the registrar reviews documents within 24 hours of receipt, excluding weekends and holidays; you receive a register extract.
4. Tax and accounting — we confirm the chosen regime, notify the tax office of persons responsible for accounting and set a reporting calendar.
5. Team contracts — shareholders’ agreement, developer agreements, NDA, client contract template.

Where people usually go wrong

• Founders agreed orally. A shareholders’ agreement must be in writing or it is void, and a founder’s exit turns into a dispute over the share and the code.
• Contractors write code without an IP clause. By law, economic rights in a commissioned work pass to the client unless the contract says otherwise, so the wording decides who owns the product.
• The tax regime was chosen without regard to foreign clients and the single tax group 3 income cap.
• Planning for Diia City from day one while the team does not yet meet its requirements: at least 9 employees and gig specialists, average pay from the equivalent of EUR 1,200, and at least 90% qualifying income.

Why hand it to a team. Filing is the shortest part of the launch. The costly mistakes sit in the decisions around it: shares, code ownership and tax. A lawyer and an accountant from one team settle them before filing and are accountable for the agreed scope under the contract.

Diia City: when to apply

Diia City residency is available to a legal entity registered in Ukraine that carries out qualifying activities and meets the team, pay and qualifying income requirements. A foreign company cannot be a resident, so a Ukrainian LLC is registered first; companies usually apply once the team and income meet the criteria.
